We continue to tell you about various aspects of implementing compliance. One of the important elements of integrity in business is interaction with counterparties and partners. Last week, we already discussed important steps such as the rules of interaction with state bodies and companies, the development of procurement procedures and the inclusion of anti-corruption and other compliance clauses in contracts with counterparties.

Today we are considering equally important issues of effective and transparent cooperation with partners.

1. Development of commercial conditions for the sale of the company's goods/services, including the application of incentives to customers/partners, sales promotion
Definitions of commercial conditions, including incentives (discounts, credit limits, compensations, exclusive conditions, special payment conditions) must be applied in such a way as not to be qualified as unjustified privileges or, on the contrary, discrimination, which may lead to anti-competitive consequences. In particular, such conditions should not:

  • lead to the displacement of competitors from the market or the distribution of markets;
  • aim to induce buyers to comply with exclusive agreements (obligation to buy goods only from a specified seller and sell goods only to a specified buyer);
  • lead to evasion of price regulation;
  • impose the purchase of a wider range of goods;
  • lead to an economically unjustified increase in prices.


2. ,Arrangement of receiving and giving gifts
The employee must coordinate the acceptance/giving of gifts with the immediate supervisor, as well as with the compliance department. It is necessary to establish value limits for one-time and annual acceptance/giving of gifts, as well as control mechanisms for subsequent compliance. The facts of acceptance/giving of gifts must be documented and kept in the compliance department. In order to avoid spending administrative resources on managing the gift acceptance/giving process, many companies choose to abandon these practices without exception.
